1. Introduction
These Terms and Conditions ("Terms") govern the provision of architectural visualization services by Script Visuals Limited, a company registered in England and Wales (Company Number: 16486840) with registered office at 27A Redcliffe gardens, SW10 9BH, London, UK ("we", "us", "our", "Script Visuals").
By engaging our services or accepting a quotation, you ("Client", "you", "your") agree to be bound by these Terms.
2. Services
2.1 Scope of Services
We provide architectural visualization services including but not limited to:

Video animations and walkthroughs
-
Interactive digital content
-
Virtual reality experiences
-
Technical visualization for design and build projects
2.2 Service Delivery
All services are provided remotely. We do not provide physical products unless specifically agreed in writing.
3. Quotations and Orders
3.1 Quotations

All quotations are valid for 30 days unless otherwise stated

Quotations are based on information provided by the Client at time of enquiry
-
We reserve the right to adjust pricing if project scope changes
-
Acceptance of a quotation constitutes agreement to these Terms
3.2 Project Scope

Detailed project specifications will be agreed before commencement

Any changes to agreed scope may result in additional charges
-
Additional work requests will be quoted separately
4. Payment Terms
4.1 Payment Schedule

Payment terms are as specified in individual quotations

Standard payment terms are 25% deposit upon acceptance, 75% on completion
-
Payment is due within 14 days of invoice date unless otherwise agreed

All prices are exclusive of VAT where applicable
4.2 Late Payment

Interest may be charged on overdue accounts at 8% above Bank of England base rate
-
We reserve the right to suspend work on overdue accounts
-
Ownership of deliverables remains with Script Visuals until full payment received
5. Client Obligations
5.1 Information and Materials
You agree to provide:

Accurate and complete project information

All necessary drawings, plans, and reference materials

Timely feedback and approvals

Clear brief and project requirements
5.2 Third Party Rights
You warrant that:

You have authority to commission the work

All materials provided are free from third-party rights
-
You have necessary permissions for the project

Use of provided materials will not infringe any rights
6. Intellectual Property
6.1 Ownership of Deliverables

Upon full payment, you receive usage rights to final deliverables for agreed purposes

We retain copyright in all creative work and methodologies
-
You may not resell, redistribute or claim ownership of our creative work
-
We reserve the right to use completed work for portfolio and marketing purposes
6.2 Client Materials

You retain ownership of materials provided to us
-
You grant us license to use provided materials solely for your project
-
We will not use your confidential information for other purposes
7. Revisions and Approvals
7.1 Revision Process

Standard quotations include a specified number of revision rounds

Additional revisions beyond agreed scope will be charged separately

All feedback must be provided in writing

Final approval must be given in writing before project completion
7.2 Client Approval

You are responsible for reviewing and approving all deliverables

We are not liable for errors not identified during approval process
-
Significant changes after approval may incur additional charges
8. Delivery and Performance
8.1 Delivery Timescales

Delivery dates are estimates based on information available at project start

Timescales may be affected by Client delays in providing information or approvals

We will notify you of any anticipated delays
8.2 File Delivery

Final files delivered in agreed formats via secure digital transfer

Physical delivery only if specifically agreed and charged

You are responsible for backing up received files
9. Liability and Limitations
9.1 Limitation of Liability

Our total liability is limited to the total fees paid for the specific project

We exclude liability for indirect, consequential, or special damages
-
We are not liable for loss of profits, data, or business interruption
-
This limitation applies except where prohibited by law
9.2 Professional Standards

We will perform services with reasonable skill and care

We do not guarantee specific outcomes or results
-
Technical accuracy of visualizations depends on accuracy of information provided
10. Force Majeure
We are not liable for delays or failure to perform due to circumstances beyond our reasonable control, including but not limited to natural disasters, government actions, internet outages, or other force majeure events.
11. Confidentiality
11.1 Mutual Confidentiality

Both parties agree to keep confidential information secure

Confidential information may only be used for the agreed project purposes

This obligation continues after project completion
11.2 Exceptions
Confidentiality does not apply to information that:

Is publicly available
-
Was known before disclosure

Is required to be disclosed by law
12. Termination
12.1 Termination Rights
Either party may terminate with written notice if:

The other party breaches these Terms and fails to remedy within 14 days

The other party becomes insolvent

There is frustration of the project purpose
12.2 Effect of Termination

You remain liable for payment of work completed

We will deliver work completed to date of termination

Confidentiality obligations survive termination
13. Data Protection
We process personal data in accordance with UK data protection laws. Our Privacy Policy, available on request, details how we handle personal information.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by English law and subject to the exclusive jurisdiction of English courts.
14.2 Dispute Process
We encourage resolution of disputes through direct discussion. If this fails, disputes may be referred to mediation before court proceedings.
15. General Provisions
15.1 Entire Agreement
These Terms constitute the entire agreement and supersede all prior negotiations, representations, or agreements relating to our services.
15.2 Variations
Variations to these Terms must be agreed in writing and signed by both parties.
15.3 Severability
If any provision is found invalid or unenforceable, the remainder of these Terms continues in full force.
15.4 Assignment
You may not assign your rights under these Terms without our written consent. We may assign our rights with reasonable notice.

These Terms and Conditions are effective from 02-07-2025 and supersede all previous versions.
